Explanatory Materials Regarding Important Items

 RevComm Inc. (“RevComm”) provides “MiiTel,” “MiiTel Meetings,” “MiiTel RecPod” and related services (hereinafter referred to as the “Services”; including services provided after the name or content is changed and regardless of the reason for said change; including cases where the Services are provided through a subsidiary or affiliate company; with the provider hereinafter referred to as the “Service Providers” regardless of whether services are provided by RevComm, a subsidiary, or an affiliate), and the following conditions apply for said provision.

◎Terms and Conditions Applicable for All Users of The Services
[Terms and Conditions for Use of The Services]

  • 1.All aspects of the Services provided by RevComm are provided for the business purpose of the companies, institutions, or organizations using the Services (“Users”) in the countries or regions in which Users executed their contracts for the Services, and any part of the Services is not intended for individual, private, or consumer use, regardless of the purpose for said use.
  • 2.In addition to the information contained in this explanation of important points, conditions for usage of the Services are subject to the provisions of the Terms of Service and Privacy Policy which are defined to be applied by the Service Providers as part of the user agreement between the Service Providers and Users.
  • 3.For information about the operating environment requirements for the Services, see “Notice for using MiiTel.”

[Contract Period]

  • 1.The contract period for the Services shall be one month, one year, or several years (contracts starting in the middle of a month shall be considered applicable retroactively from the start of said month).
  • 2.If neither the Service Provider nor the User gives notice in writing or by electromagnetic record (email, etc.) of its intent not to renew and takes the procedures prescribed by the Service Provider at least one (1) month before the expiration of the contract period as stipulated in the preceding paragraph (or by a separately agreed deadline, if otherwise agreed), the applicable contract shall be automatically renewed for a further period under the same conditions, with the same to apply thereafter; provided, however, that this provision shall not apply to any contract that explicitly stipulates no automatic renewals. In addition, if a contract is terminated without being renewed, said contract shall end at the end of the month in which the contract terminates.
  • 3.Please be aware that midterm cancellation during the contract period is not allowed.

[Examination]

  • 1.After an application for using the Services is received from Users, the Service Providers will conduct an examination according to their proprietary standards.
  • 2.Even the application is not accepted based on the results of the examination by the Service Providers, the Service Providers shall not be required to provide an explanation or bear any other responsibility whatsoever to Users.
  • 3.Even during the contract period for the Services, in cases such as a User being categorized as an Antisocial Force, the Service Providers may terminate the contract with such User for provision of the Services immediately without any prior notification of any kind. In addition, in cases such as where a User violates any of the provisions of the Terms of Service or other agreements related to the Services, RevComm and the Service Providers may terminate the contract for the Services pursuant to the provisions of such agreement.

[Service Usage Fees]

  • 1.Even if a contract starts in the middle of the month, usage fees shall be for the full month and be not calculated on a daily pro rata basis.
  • 2.Even if Users cease usage of the Services before the end of the contract period due to their circumstances, usage fees must be paid for the entirety of the contract period.
  • 3.Among various fees for the various services which make up the Services, the payment cycle for usage fees which are a fixed rate shall be billed at the start of each month for payment by the end of said month. For metered rated such as call charges and other fees related to the usage of MiiTel services, fees shall be calculated at the end of each month for payment by the end of the following month.
  • 4.For the first month at the start of a contract, usage fee invoices may be delayed until the start of the following month in some cases.
  • 5.For Users executing usage contracts for the Services with RevComm within Japan, if Users use an account transfer service at a bank or sets up a direct debit for payment, a debit shall be made on the 23rd of each month (or the following bank business day if the 23rd is on the weekend or is a holiday).
    In addition, the start of the account transfer (the direct debit) period shall be after the bank transfer request form (application form) is received by RevComm, handled as follows.
    • (1)If the application is received by the 15th of the month, bank transfer payment will start the following month.
    • (2)If the application is received between the 16th of the month and the 15th of the following month, bank transfer payment will start the month after the following month.
      Users shall make payment for usage fees by bank wire transfer or through some other means specified by RevComm until the bank transfer payments start.

[Acquisition of Information by Third-Party Service in the Services]

  • 1.In providing “MiiTel,” “MiiTel Meetings” and “MiiTel RecPod,” Users’ personal information, communication logs, application data, etc. (“Personal Information”) may be shared among RevComm, the Service Providers, and third-party service providers that provide tools which connect to the Services (the “Third-Party Tools”), and Users hereby provide their consent thereto. The provisions of the privacy policies defined by such third-party service providers shall apply to the usage of the Personal Information, Etc., and Users shall be responsible for confirming said privacy policy provisions.
  • 2.Please refer to the Privacy Policy separately established by RevComm for details on the information, etc. acquired by RevComm and the Service Providers through the use of the third-party services.

◎Conditions for Users of MiiTel Services

The following conditions apply Users of MiiTel services among the Services.
  • 1.Users executing usage contracts for the Services with RevComm within Japan who are using MiiTel should be aware that this service cannot be used to make calls to some phone numbers (including emergency numbers within Japan such as 110; details here).
  • 2.Preparing the communication environment required to access and use the Services, including but not limited to an Internet connection, as well as paying any related communication fees (excluding MiiTel call charges determined separately by the Service Providers and other explicit notifications from the Service Providers) shall be the sole responsibility of Users. For details of the usage environment, etc. that Users are required to prepare as necessary for use of the Services, Users shall confirm the materials, etc. separately provided thereto by RevComm or the Service Providers. For any inquiries, please contact the person in charge at the relevant Service Provider.
  • 3.Users acknowledge in advance that neither RevComm nor the Service Providers warrant or assure perfection of the voice quality of the telephone line used by each User, and the quality may be degraded due to reasons not attributable to RevComm or the Service Providers, such as the effect of the network environment used by the relevant User.
  • 4.When using the Services, Users are required in accordance with applicable laws and ordinance and to submit documentation such as identification including an address (front and back of a driver’s license, etc.) for a person in charge of Users using the separate identity confirmation tool (MiiTel Signup).
  • 5.Please be aware that number portability may not be an option in some cases when terminating a MiiTel contract. In addition, if the Service Providers with which Users are terminating their contract is any company other than RevComm or PT RevComm APAC Indonesia, please confirm these details with the person in charge of such the Service Providers.

◎Conditions for Users of the MiiTel Meetings Service

The following conditions apply Users of the MiiTel Meetings service among the Services.
  • 1.Users shall be responsible for the conclusion of usage contracts for third-party online meeting tools such as Zoom and Teams (the “Integration Tools”) linked with MiiTel Meetings.
  • 2.When using the Integration Tools, Users must not input or provide any content, prompts, information, etc. that infringe upon copyrights or other rights of third parties or are in violation of laws and regulations, and Users shall use the Integration Tools at their own responsibility. Neither RevComm nor the Service Providers make any warranty of fitness for a particular purpose, merchantability, accuracy, completeness, usefulness, non-infringement of third-party rights, or any other warranty in any way whatsoever with respect to the content generated by the Integration Tools, and Users hereby provide their consent thereto.
  • 3.RevComm and the Service Providers shall bear no responsibility whatsoever in the event that MiiTel Meetings services can no longer be provided by RevComm or the Service Providers due to any reason not attributable to RevComm, such as due to the circumstances of third-party providers of the Integration Tools or Third-Party Tools (the “Integration Tools, Etc.”). In addition, neither RevComm nor the Service Providers shall bear any responsibility whatsoever for the provision of the Integration Tools, Etc. (including, but not limited to, any failures or malfunctions pertaining to the Integration Tools, Etc., leakage of information, and other damage, etc. arising from third parties).
